SAMPE – North America Board of Directors
SERVING ON THE SAMPE NORTH AMERICA BOARD OF DIRECTORS
1. Why Are You Sending This to Me?
This is the season when our North America chapters make decisions on who they want to send as their representative to the SAMPE Board of Directors for the next fiscal year.
As our board becomes a strategic board making critical decisions on the future growth of the society, we are – for the first time – sharing our thoughts with you on what makes an ideal board candidate. This position is vital. SAMPE needs directors whose skill sets can help grow our business – and not directors who are selected because they can just make the meetings.
2. Description of a Director
Board members of SAMPE (and this includes any society or association) have three primary responsibilities:
- Set the society’s direction
- Ensure necessary resources
- Provide oversight
3. What Does This Mean?
The men and women who sit on our board of directors represent all of SAMPE – not just their local chapter.
In doing so, they are being asked to determine our future direction, approve the Roadmap plans, determine if SAMPE has sufficient funding to produce the requested Roadmap Task Force activities, and ensure the society’s volunteers and staff are making progress on the identified projects.
The SAMPE Board of Directors needs a capable and a responsible board who among other things provides the legal and moral oversight for the organization.
4. The Board’s Fiduciary Responsibilities
As SAMPE Board members, each director (and this is true for all associations) must demonstrate:
- Duty of Care
- Duty of Loyalty
- Duty Obedience
Again, we realize this is new information for you, our chapter leaders. This is new for SAMPE. Here is a definition.
Duty of Care simply means the members of your board of directors need to exercise reasonable care when he/she makes a decision as steward of the SAMPE organization. To do so, he/she needs to be informed and ask questions.
Duty of Loyalty is pretty straight forward. His or her allegiance is to SAMPE’s welfare. Our directors must act in the best interest of SAMPE. Information learned in the board meeting can never be used for personal gain.
Duty of Obedience is all about being faithful to SAMPE’s mission. As directors, our members and the members of your chapter have given their trust that you as a board will manage our funds to fulfill SAMPE’s mission and direction.
5. This is New? Is This Needed?
Perhaps not. We do know there are directors who have delivered outstanding service to SAMPE. We also know there are directors who have no idea we have these expectations. That’s because we have never stated these expectations before.
You have heard the phrase from noted author Jim Collins (“Good to Great”), do you have the right people on the bus? This statement reflects the desire great organizations have of their leaders – both volunteer and staff. As SAMPE President Ben Dietsch stated SAMPE North America is brand new organization. To take us from “good to great”, we need your help.
As your chapter selects the director(s) for 2018 – 2019 fiscal year, we ask you share these expectations for our board of directors. Their leadership in the fulfillment of our mission will make help SAMPE go from “good to great”.
